GUIDE AGREEMENT

This Outfitter and Guide Services Listing Agreement (“Guide Agreement”) is subject to the Terms of Service in all respects, including all agreements and documents incorporated therein by reference. This Guide Agreement is in addition to, and does not replace or change, any other agreements you enter into with Infinite, which may include but is not limited the Privacy Policy, Listing Agreement, and any other guidelines, rules, or other agreement found on the Site and by which you may be bound under this Guide Agreement, all of which are incorporated herein by reference. In the event of a conflict between this Guide Agreement and the Terms of Service, this Guide Agreement shall govern with respect solely to the subject matter herein.

PLEASE READ THIS DOCUMENT CAREFULLY. THE TERMS OF SERVICE INTO WHICH THIS GUIDE AGREEMENT IS INCORPORATED CONTAIN A CLASS ACTION WAIVER AND A MANDATORY ARBITRATION PROVISION IN SECTION 23 OF THE TERMS THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES. THIS MEANS THAT YOU AND INFINITE ARE EACH GIVING UP THE RIGHT TO SUE EACH OTHER IN COURT OR IN CLASS ACTIONS OF ANY KIND, AND YOU AND INFINITE ARE EACH WAIVING RIGHTS TO A JUDGE, JURY, AND CERTAIN DISCOVERY. THE TERMS ALSO DETAIL YOUR ASSUMPTION OF ALL RISKS AS DESCRIBED FURTHER IN SECTION 19 OF THE TERMS, YOUR AGREEMENT TO INDEMNIFY US AS DESCRIBED IN SECTION 20 OF THE TERMS, AND YOUR AGREEMENT NOT TO CIRCUMVENT THE SITE AS DESCRIBED IN SECTION 21 OF THE TERMS.

Information regarding how we collect, use and disclose confidential, sensitive and personal information, if any, from our Users and Owners can be found in our Privacy Policy.

We may modify the Terms, including the Guide Agreement, at any time in our sole discretion by posting amended Terms to the Site. We may notify you of any material changes, amendments, or modifications to the Terms through the Site or through the email provided for your Account. Your continued use of the Site and Infinite Services after any amendment is posted to the Site shall constitute acceptance of all revised, modified, and/or amended Terms and your representation and acknowledgement that you reviewed all such changes. You should routinely review the most up-to-date version of the Terms from time to time on the Site. In the event you choose not to agree and accept the new, modified, or amended Terms, you must cease use of any of the Infinite Services, including visiting the Site.  

Unless otherwise expressly defined in this Guide Agreement, capitalized terms shall have the meanings assigned to them in the Terms of Service, which definitions are incorporated herein by reference.

Nothing in this Agreement shall be deemed to confer any third-party rights or benefits. Additional terms may apply to certain Infinite Services and Trips (as defined herein), and those additional terms shall become part of your agreement with us if you use those Infinite Services and/or Trips.

1. Scope and Limits of Infinite’s Services.

By accepting this Agreement as a Guide, you agree (a) to participate in the Add-a-Guide Program advertised by Infinite to Members for their Trip(s); (b) to be available to provide guide services to a Member or to the Guide’s non-member clients (each a “Client”) according to the information the Guide provides in any Listing or other agreement with such Member(s) or Client(s) (“Guide Services”); and (c) with such Member or Client to the terms of such Trip as described in this Agreement.

GUIDES ALONE ARE RESPONSIBLE FOR ALL GUIDE SERVICES THEY PROVIDE TO A MEMBER OR CLIENT. WHEN A MEMBER BOOKS A TRIP AND ADDS A GUIDE, THEY ARE ENTERING INTO A CONTRACT DIRECTLY WITH THE GUIDE FOR SUCH GUIDE SERVICES. Infinite is a facilitator only and is not and does not ever become a party or any intended party of any kind at law or in equity to any contractual relationship between Members and Guides or Guides and their other Clients. SIMILARLY, INFINITE OUTDOORS IS NOT AND DOES NOT IN ANY WAY HOLD ITSELF OUT TO BE: A REAL ESTATE BROKER; REALTY AGENT, PROPERTY MANAGER; INSURER; OUTFITTER; OR GUIDE. YOU UNDERSTAND INFINITE OUTDOORS EXPRESSLY AND FULLY DISCLAIMS ANY SUCH STATUS OR ROLE. Infinite also is not acting as and will not undertake to act as an express or implied agent in any capacity on any basis for any Guide or other User, except with respect to facilitating contact between them, providing a platform for Guides and Members to administer the contractual commitments between Guides and Members, and processing the payment transaction between the Guide and Member, as described in this Agreement. You expressly acknowledge and agree to Infinite’s explicitly limited role.

If Guide provides Property access to Clients who are not Members, Guide agrees to pay the applicable Fees for such Clients before such Clients’ access to any Property. Notwithstanding anything to the contrary in the Agreement, Guide agrees it is solely responsible for all Clients’ compliance with the terms of this Agreement, and Guide agrees to indemnify Infinite for the actions of any Clients, as further described in Section 20 of the Terms.  

Guides may provide for employees or contractors working for Guide as guides under such Guide’s license (collectively, “Guide Employees”) to fulfill the Guide Services obligations described herein; provided, however, that Guide must ensure such Guide Employees are aware of and comply with all terms of this Agreement as if such Guide Employee was a Guide as defined herein, and provided further that Guide is directly responsible for any breach of the Agreement by any such Guide Employees.

Infinite reserves the right to remove any Guide Listing or to suspend or terminate Guide’s Account for any reason or no reason, on notice to Guide.

2. Marketing Using Infinite Add-a-Guide Program Guide on the Site.

To apply to Add-a-Guide Program Listing on the Site or to provide Guide Services during any Trip, you must complete and submit the Prospective Guide Application Form (“Form”), incorporated into this Agreement by this reference. Infinite will review the information you input into the Form and respond to you concerning its determination whether to accept or reject your application to be a Guide. Infinite has sole discretion to determine whether you qualify to become a Guide listed on the Site or to otherwise use the Infinite Services as a Guide, and Infinite may at any time, regardless of any prior acceptance, revoke your status as a Guide. Notwithstanding anything to the contrary herein, YOU CANNOT AND WILL NOT BE INCLUDED ON THE SITE AS AN AVAILABLE GUIDE UNLESS AND UNTIL YOU HAVE APPLIED TO DO SO AND HAVE BEEN FORMALLY ACCEPTED BY INFINITE PURSUANT TO THIS AGREEMENT. Infinite is not obligated, on any basis, to approve you as a Guide or to allow you to use the Infinite Site to book Trips where you provide Guide Services on such Trips.  

If you are approved by Infinite to become a Guide, you agree to this Agreement on behalf of yourself and any outfitting entity(ies) with which you are affiliated. All Guides, regardless of whether they are a Guide registered directly with Infinite or a Guide Employee thereof, must first submit the Form and be accepted as a Guide and agree to the terms of this Agreement, before a Guide may add a Listing or provide Guide Services during any Trip. Further, all Guides agree you will not solicit any Users of the Site or contract to provide any outfitting or guiding services to any Users of the Site or on any Owner Propert(ies) listed on the Infinite Site, except through the Infinite Services in accordance with this Agreement.

Within ten (10) days of being notified of approval by Infinite, Guide shall be solely responsible to provide Infinite with Guide’s proposed prices or range(s) of prices for Guide Services on available Properties and an accurate available Trip schedule for such Properties. Infinite will then approve or disapprove in its sole discretion such Add-a-Guide Program prices for available Trip(s) on such Properties and will communicate the decision to Guide. Once Guide’s pricing is determined and approved by Infinite, Guide will be listed as a Guide available through the Add-a-Guide Program service for such approved Properties.

When a Member creates a Reservation for a Trip using the Infinite Services, the Member will be offered the ability to also submit a request through the Add-a-Guide Program for Guide Services to be provided during the Trip. If Guide Services are selected to be provided by a Guide, Member will select the applicable Guide Services Listing and add such Guide Services to the Trip. 

Members who use Guide Services will be asked to post a review of the Guide and Guide Services on the Site, and you expressly consent to such solicitation of a review of the Guide Services you provide and that all such reviews will be posted publicly on the Site.

3. Guide Licensure and Verification of Insurance.

If you are approved to become a Guide subject to this Agreement, prior to being allowed to create a Listing on the Site or provide Guide Services on any Property, you must provide Infinite with verification that you are licensed to operate as an outfitter or guide, including but not limited to, providing the following documentation:

3.1. Full copy(ies) of your current outfitting and/or guide license(s); and,

3.2. Full copies of verifiable documentation evidencing the existence of liability and casualty insurance covering the Guide Services as described infra in this Agreement.

You shall not offer to provide any Guide Services to any Guest on any Property unless you and anyone else providing such Guide Services under your Account possess a current and active outfitting and/or guiding license affiliated with an approved Guide from each relevant state and /or federal regulatory authority for each such Trip. You shall not offer or attempt to provide any outfitting or guiding service to anyone using the Infinite Site illegally on any basis ever. You are solely responsible for obtaining and maintaining all necessary and required outfitting and guiding licensures and permits at all times. Infinite is never directly or indirectly responsible to ensure that any Guide has obtained and maintained all necessary and required outfitting and/or guiding licensure or permitting.

Your use of the Site pursuant to this Agreement is always expressly conditioned upon your current and valid licensure to provide Guide Services. If your licensure is lost, expires, or otherwise is not current or valid for any reason or at any time, you must immediately report that licensure change to Infinite. Infinite reserves the right to suspend or terminate your Account and/or this Agreement in case of such change in licensure or any failure to comply with this Agreement or Applicable Law by Guide, Guide’s Employee(s), or Guide’s Client(s)’.

4. Duration of Agreement - Termination.

Infinite or you may terminate this Agreement for any reason or for no reason upon ten (10) days advance express written or verifiable electronic notice to the other party. Infinite shall not, directly or indirectly, be or serve as any express or implied party in privity in any way with you or any Owner, Client, or User to any services contract(s) that you enter into with any Guest or Owner concerning any Trip that is facilitated by the Infinite Site. If your participation in this Agreement terminates, then you are and remain solely responsible to perform, amend or terminate any existing services agreements that you have in place with any Users or Clients fully subject to your obligations pursuant to this Agreement to pay or credit Infinite any and all amounts owed to it for all such Trips or agreements facilitated by the Site pursuant to this Agreement. Sections 3, 5, 6, 7, 9, 11, 12 of this Agreement, any certificate, document, or instrument delivered in connection with this Agreement, and the transactions contemplated as a result of this Agreement are intended to and shall survive the termination of this Agreement to the fullest extent possible.

5. Guide Services Administration, Guide Services Fees, and Infinite Services Fees.

Fees to be charged by you for Guide Services for Trips with Members booked through the Add-a-Guide Program on the Site shall be set by you, subject to Infinite’s right to reject any Guide Services Listing and/or terminate your Account. The fees for Guide Services for Trips with Members booked through the Add-a-Guide Program on the Site will be addressed as follows:

5.1. When a Member books a Trip and adds the Guide Services offered by a Guide for such Trip, Infinite will either submit the Guide Services Reservation to the Guide, verify with the Guide that Guide Services are in fact available for that Trip, and then communicate to the Member the availability of Guide Services for the Trip, or for instant book Reservations for Guide Services, the Member booking the Trip with added Guide Services is confirmation of Guide’s availability and agreement to provide such Guide Services.

5.2. If you enter into an agreement to provide Guide Services for such Trip, then, in addition to any Fees applicable to the Trip for use of the Property, the Member will also be required to pay the Guide Services fee applicable to the Trip as follows:

5.2.1. Guide Services Fees for Fishing and DIY Hunting Trips With No License Draw Requirement. For fishing and DIY hunting Trips that do not involve the member submitting to draw for a license in a state licensing draw system, the Member will pay 100% of the Guide Services fee applicable to the Trip when the Member makes the Reservation. The Infinite Services will specify the applicable per-person Guide Services fee as base and additional person fees per Trip.

5.2.2. Guide Services Fees for DIY Hunting Trips With a License Draw Requirement. For hunting Trips that will require the Member to submit to draw for a license in a state licensing draw system, the Member will be required to pay Infinite 50% of the Guide Services fee within ten (10) days of Member’s receipt of notification from the state that Member has drawn the applicable license necessary for the Trip. The Infinite Services will specify the applicable per-person Guide Services fee as base and additional person fees per Trip. Within thirty (30) days of such initial payment, Member shall pay Infinite the remaining 50% of the Guide Services fee. The Site will again specify the applicable per-person Guide Services fee as base and additional person fees per Trip selected.

All Guide Services fees are calculated net of Infinite’s payment processing and similar transaction costs for such fees.

5.3. Following the Trip and Guide’s provision of the Guide Services for that Trip, Guide will notify Infinite in writing that such Trip has been completed. Within ten (10) days of the first day of the month following such notification by Guide, Infinite will pay via electronic transfer to the account specified in writing by the Guide, the Guide Services fee as follows, with the specific amount of such payment being dictated by the terms of Guide’s Listing for such Guide Services for such Trip(s):

5.3.1. Seventy-five (75) to eighty-five (85) percent of the Guide Services fees for the approved Trip actually collected from the Member who made the Reservation, plus seventy-five (75) percent of the extra person fee(s) actually collected for such Guide Services, shall be paid to the Guide; and,

5.3.2. The remaining fifteen (15) to twenty-five (25) percent of the Guide Services fees for the approved Trip actually collected from the Member who made the Reservation, plus twenty-five (25) percent of the extra person fee(s) actually collected for such Guide Services shall be retained by and deemed paid to Infinite.

The exact percentage payments for the above amounts will be set by Infinite in its discretion and are subject to change upon notice at any time prior to the Trip that includes the Guide Services being reserved by a Member.

5.4. Upon Reservation of a Trip that includes Guide Services, Infinite will notify the Guide of such Reservation by automated email and provide the Guide with information necessary for the Guide to use the Infinite Services to make contact with the Member and confirm all necessary Trip details, including scheduling and preparations for Guide to provide Guide Services consistent with the Reservation. The Guide agrees to use the Infinite Services to provide prompt communication with the Member for the Guide Services associated with the Trip, and Guide agrees to provide all Guide Services consistent with Guide’s details in the Listing and applicable Reservation and the Agreement.

5.5. As part of the Support, Infinite will provide each Guide with a calendar to manage Guide’s availability for approved Properties. Guide is responsible on a continuing basis to update such calendar to ensure all listed availability is correct and to track the Guide’s pending Guide Services Reservation(s).

5.6. Guide expressly consents and authorizes Infinite to provide and perform all Guide Services fees payment processing as described in the Terms of Service and herein. Guide will reasonably and promptly communicate and cooperate with Infinite to allow Infinite to facilitate the Guide Services fee payment process. Further, Guide authorizes Infinite to collect and pay or remit all applicable taxes, credit card processing fees, ACH or other transfer fees or any other similar fees incurred to accept any fees from Members to facilitate any Add-a-Guide Program Trip services booking for Guide using the Infinite Site pursuant to this Agreement.

5.7. In addition to the Add-a-Guide Program of the Infinite Services, subject to the terms of this Agreement (including but not limited to the requirements detailed in Section 2.4 of the Terms of Service) and any restrictions detailed in the Listing for such Propert(ies), Guide may use its Account to reserve Trips at available Properties for use with Guide’s Client(s). Guide shall then designate whether such Clients will or will not become Members. If such Clients will not become Members, Guide will pay the applicable Fees for all Clients as required by the Reservation. If such Clients will become Members, Guide must initiate a request via the Infinite Services for such Clients to become Members and to pay via the Infinite Services the applicable Fees associated with their participation in the Trip. The non-refundable Reservation Fee must always be paid by Guide at the time of booking a Reservation. For Trips where Guide is the Member who makes the Reservation, Infinite will not process or collect any Guide Services fees, and Guide is solely responsible for collecting fees for guide services associated with such Trips directly from such Client(s). Guide agrees it is solely responsible for all Clients’ compliance with the terms of this Agreement as if such Clients were Members (except that Client shall not be required to become a Member), that Guide will provide the Agreement, including the Terms and Privacy Policy, to such Clients and require such Clients to agree in writing to the Agreement prior to such Clients’ access to any Property, that Guide will enter into written agreements with such Clients that include an assumption of risk and limitation on liability that is at least as protective of Infinite as the assumption of risk and limitation on liability described in Section 19 of the Terms, and that Guide agrees to indemnify Infinite for the actions of any Clients, as further described in Section 20 of the Terms. Guide shall maintain all such Client related documentation for a period exceeding the longest applicable statute of limitation and shall make such records available to Infinite upon demand.

5.8.        Guide is and at all times shall be solely responsible to make all payments due to its Guide Employee(s) according to whatever employment or independent contractor relationship that the Guide chooses to maintain with its Guide Employee(s). Infinite fully disclaims any responsibility to pay Guide Services fees as described herein to any person or entity other than the approved Guide. Neither Infinite nor the Guide intend to nor shall establish or enter into any express or implied partnership, joint venture or other similar business relationship, at law or in equity, on any basis whatsoever at any time. No such relationship(s) shall be implied, at law or in equity, on any basis whatsoever at any time.

6. Cancellations.

For cancellations of Guide Services, Guide Services fees will be treated the same as Outdoorsman Fees in Infinite’s cancellation policy, as detailed in Section 7 of the Terms.

6.1. If any Guide or Guide Employee no shows or cancels a Reservation for Guide Services, the Guide will owe the Member the full refund of all Reservation Fees and any non-refundable portion of any Outdoorsman Fees and Guide Services fees already paid by the Member for such Trip. In addition to such refund to the Member, the Guide also owes and will pay to Infinite within five (5) days of any request from Infinite, twenty-five percent (25%) of the Reservation Fee, Outdoorsman Fee, and Guide Services fees applicable to the Trip to make Infinite whole for the lost and refunded Member Trip Reservation. Guide authorizes Infinite to withhold or debit from any amounts payable to Guide, or to invoice Guide directly, for any refunds, reimbursements, or cancelations penalties owed under this section. If such cancellation fee is not timely paid to Infinite, the unpaid amount will accrue interest at 1.5% per month or the highest applicable rate allowed by Applicable Law, and Infinite is entitled to all collection costs (including attorney fees) expended by Infinite to collect any such past due amount.

6.2. If any Guide requires a Guest using the Infinite system and/or Site to agree to any separate or distinct Guest Trip agreement for any reservation, fee payment and/or cancellation policies that is, in whole or in part, materially different from the terms, conditions and policies set out in this Agreement, then this Agreement shall govern and supersede any such separate or distinct contradictory Guide Guest agreements.  

7. Chat Function and Guide/Member Communications.

As a Guide approved to offer Add-a-Guide Program Trip services pursuant to this Agreement, to enter into this Agreement, you or your staff shall be primarily responsible to communicate promptly and responsively with each Member who books a Trip through the Site. Infinite will provide and strongly encourages you to use the Infinite Site based chat communication function for this purpose. Using the Infinite chat function for all such communications concerning Trip related communications will be most likely to result in accurate communications and sharing of relevant data and will assist all parties in resolving any disputes.

8. Infinite’s Support.

For purposes of this Guide Agreement, references to Infinite’s “support” describe the Guide-facing functions set forth in this Section 8 and are not intended to incorporate or be limited by any definition of “Support” otherwise defined in the Terms.

Infinite provides indirect support to qualified Guides by facilitating the relationship between Guides and Member for Trips. Infinite’s support in this regard includes the following as part of Infinite’s support for Guides:

8.1. Marketing. Infinite will make suggestions as to how best to market each Property where Add-a-Guide Program services can also be provided by Guides, as deemed appropriate by Infinite, and as accepted by the Owner, to promote the Trips. To promote the Site and to increase the exposure of Trips to potential Users, Trips and other Content may be displayed on other websites, in applications, within emails, and in online and offline advertisements. Guide expressly consents to all such marketing that is not provided directly on or through the Infinite Site.

8.2. Relationship Management. Infinite will take actions it deems reasonably appropriate to manage Guide relations, including communicating with Guides and assisting in communication between a Guide and any User(s) for purposes of completing or verifying Reservations, managing Trip check-in and check-out, payments, and communications with the Members regarding their experience with the Guide and Property.

8.3. Payment Processing. Infinite will, through its third-party payment processing platforms, process payments relevant to Guide Services Reservations and fees, as provided in this Agreement.

8.4. Dispute Resolution. Infinite may, in its sole discretion, help facilitate dispute resolution between a Guide and Member. Any disputes over Guide Services fees or any Guide compliance with this Agreement will be decided by Infinite in its sole but reasonable discretion. While Infinite employs certain processes to help ensure Members and Owners are responsible and capable, Infinite has no control over and does not in any way expressly or impliedly represent, warrant or guarantee: (a) the experience, capability, legality, or similar qualifications of any Member or Owner; (b) the truth or accuracy of any Member or Owner descriptions, reviews, rating, and other Content; or, (c) the performance or conduct of any Member, Owner or any other third party.

9. Guide’s Additional Rights and Obligations.

In performance of its obligations and responsibilities under this Agreement, the Guide agrees to the following:

9.1. Trip Availability. Subject to any applicable cap imposed by Infinite on the number of days in any week that a Member may access a Property listed on the Site, which cap for hunting Trips will generally be three allowed hunting days in any calendar week, Guide will have complete control over management of its schedule and details of Guide’s Add-a-Guide Program services for all Trips. Guide is solely responsible for keeping its information (including calendar availability) up to date at all times.

9.2. Reservation Modification and Cancellation. Upon your receipt of an Add-a-Guide Program services Reservation for a Trip, a legally binding agreement is formed between you and the Member, subject to any additional terms and conditions, including in particular the applicable cancellation policy and any rules and restrictions specified in the Trip. Subject to any cancellation policy and Trip availability, Guests may modify Add-a-Guide Program services for a Trip reservation. Guests can also cancel a confirmed Trip booking outright at any time pursuant to the Trip’s cancellation policy set by the Owner. Unless extenuating circumstances exist as determined in Infinite’s sole discretion, Guide Services fee due pursuant to the applicable cancellation policy set forth in this Agreement will be remitted to the Guide as described herein. Once Add-a-Guide Program services for a Trip are reserved by a Member, you may not cancel such Reservation. If extenuating circumstances exist, including if it would be unsafe for the Member to access the property as agreed or if the Member is exhibiting unsafe behavior or you otherwise have reason to believe such Member should not use the Property for the Trip, you must contact Infinite, and Infinite, in its sole discretion, will either accommodate the Member at a different Trip that Infinite confirms with you can be rescheduled for your Add-a-Guide Program services or cancel the Member’s Reservation. For any such canceled Reservation, you will not be paid any portion of the Guide Services fee. In addition, Infinite may keep the calendar for the Trip unavailable or blocked for the dates of any canceled booking.

9.3. Trip Information. When making your Guide Services available for marketing and Reservation(s) on the Site or creating a Listing on the Site, you must: (a) provide complete and accurate material information about your services; (b) fully disclose any special restrictions and requirements that apply to the Guide Services you offer; and, (c) provide any other reasonably related information requested by Infinite and related to your Guide Services. Guide hereby grants Infinite a license to use all intellectual property associated with your Listing and Guide Services, including any name and trademarks associated with Guide, for any purpose that is reasonably related to the Infinite Services, any Trip(s), and any Property(ies). This license is a perpetual,  irrevocable, worldwide, fully paid, royalty free, non-exclusive, unlimited license,  including the right to sublicense and assign to third parties, and right to copy,  reproduce, fix, adapt, modify, improve, translate, reformat, create derivative works  from, manufacture, introduce into circulation, commercialize, publish, distribute, license, sublicense, transfer, rent, lease, transmit, publicly display, publicly perform,  or provide access to electronically, broadcast, communicate to the public by  telecommunication, display, perform, enter into computer memory, and use and  practice, in any way now known or in the future discovered.. Any terms and conditions included in your Guide Services Listing or any agreement with a Member of Client, in particular in relation to cancellations, must not conflict with this Agreement.

9.4. Site Member Names and Passwords. You agree that you will not allow others to access or use your Account on and to the Infinite Site, and that you will not access or use the account of others, except as specifically provided in this Agreement. You authorize us to assume that any person using the Site by logging in to an account with your Site username and password is you or is authorized by you to access your Account and communicate with Users and Infinite.

9.5. Results and Performance of Services. YOU ACKNOWLEDGE AND AGREE THAT INFINITE HAS MADE NO GUARANTEES, REPRESENTATIONS, OR WARRANTIES TO YOU WITH RESPECT TO THE RESULTS OR PERFORMANCE OF THE INFINITE SERVICES, INCLUDING, BUT NOT LIMITED TO, THE QUALITY OR VOLUME OF INTERNET TRAFFIC OR BUSINESS GUIDES MAY ACCESS THROUGH THE INFINITE SERVICES OR THE PLACEMENT AND RANKING OF YOUR LISTING. SEARCH RESULTS MAY VARY AND DEPEND ON A VARIETY OF FACTORS, SUCH AS USER SEARCH PARAMETERS AND PREFERENCES, GUIDE SERVICE QUALITY, OWNER REQUIREMENTS, PRICE, AVAILABILITY, TRIP QUALITY, CANCELLATION HISTORY, AND/OR MEMBER AND/OR OWNER REVIEWS AND RATINGS.

9.6. Insurance. Guide shall be solely responsible to secure, bind and maintain casualty and property insurance for all Guide Services activities at all times and in amounts required by all Applicable Laws. Infinite recommends that Guides obtain appropriate commercial insurance for all of their activities and to protect against Member negligence and the uses contemplated by the Trip. Guides are expected to review their insurance policy(ies) carefully, and in particular to ensure that you are familiar with and understand any exclusions to, and any deductibles that may apply for, such insurance policy, including, but not limited to, whether or not your insurance policy will cover the actions or inactions of Members while Guide is providing Guide Services on any Trip. Infinite does not provide any insurance coverage to Guides or for Guide Services under any circumstance.

9.7. Compliance with Laws. Guide hereby expressly represent and warrants that any Guide Services using the Infinite Services shall: (a) not breach any agreements Guide has entered into with any third parties; and, (b) fully comply at all times with all Applicable Laws, including Game and Fish Laws, tax requirements, and other rules and regulations (including having all required permits, licenses and registrations). As a Guide, you are solely responsible for your acts and omissions and the acts and omissions of your employees and agents.

9.8. Waivers and Consents. Guide shall ensure that no Client may participate in any Trip unless they have first executed a liability release and assumption of risk waiver acceptable to Infinite and provided express consent to Infinite Outdoors’ Terms of Service and Privacy Policy. Guide shall maintain and promptly provide copies of such documents as required under this Agreement.

10. Infinite’s Rights and Obligations.

Infinite will use commercially reasonable efforts to ensure the Site and Infinite Services are provided in a professional manner and are available for use by the Guide and Users.

11. Additional Guide Representations and Warranties. Guide hereby expressly represents and warrants that:

11.1. Guide has full power, authority and legal right to execute, deliver and perform this Agreement and to perform all of its obligations hereunder.

11.2. The execution, delivery and performance of all or any portion of this Agreement do not and will not conflict with, result in a breach of, or constitute a default under, the charter or bylaws of Guide or any instrument, obligation, license or permit to which the Guide is a party or by which Guide is bound.

12. Post Termination.

Upon termination of this Agreement, Infinite may:

12.1. At its option and in its sole discretion, cancel any reservation and refund Guide Services fees for any and all Reservations, irrespective of preexisting cancellation policies, and Guide shall not be entitled to any compensation for pending or confirmed Reservations that are canceled.

12.2. Post Termination Reservations. Unless Infinite exercises its option to cancel such reservation pursuant to section 12.1 above, Guide agrees to honor any Reservation pursuant to the Agreement notwithstanding any cancellation.

12.3. Outstanding Payments to Infinite. Upon the termination of this Agreement for any reason, all accrued and unpaid amounts owed to Infinite will become due and payable. Infinite may pay any amount due to Infinite using any funds available to Infinite in any Guide Account. If there are insufficient funds in the Accounts, the remaining balance shall be paid to Infinite by Guide within five (5) days following the date of termination. If such amounts due to Infinite are not timely paid to Infinite, the unpaid amount will accrue interest at 1.5% per month or the highest applicable rate allowed by Applicable Law, and Infinite is entitled to all collection costs (including attorney fees) expended by Infinite to collect any such past due amount.

12.4. Outstanding Payments to Guide. Upon the termination of this Agreement for any reason, all accrued and unpaid amounts owed to Guide shall be paid to Guide with the next regularly scheduled payment.
